Code of Ethics

TechInvest has adopted the CFA Institute Asset Manager Code of Conduct. In particular, TechInvest staff seek to:
• Observe high standards of honesty and fairness
• Act with integrity, competence, dignity, and in an ethical manner when dealing with the public, clients, prospects, and fellow TechInvest officers
• Practice and encourage others to practice in a professional and ethical manner
• Continually strive to maintain and improve competence, and
• Use reasonable care and exercise independent professional judgement

Proxy Voting

Included below is the Australian proxy voting record history from 2002 - 2005. The decline in resolutions reflects the reduction in the number of Australian holdings in client portfolios. TechInvest holds no Australian listed securities; the table below has been suspended until this situation changes.

TechInvest Corporate Governance & Proxy Voting Policy

Broker Commission Policy

TechInvest employs the services of a number of brokers to ensure that the firm can best meet the mandate requirements of each of the portfolios it manages. TechInvest values incisive industry analysis, efficient and cost effective trade execution and the provision of company financial data, which are put to use in the firm's investment process. Generally, TechInvest does not rely on individual company analysis provided by brokers, instead developing organic forecasts and analysis. The performance of brokers used by TechInvest on behalf of clients is monitored and reported to the TechInvest board.

TechInvest has adopted the
CFA Institute Soft Dollar Standards and any amendments made to these standards from time to time. Under these standards TechInvest will only enter into soft dollar agreements where the primary use of the soft dollar product or service is to directly assist the investment manager in its investment decision-making process and not in the management of the investment firm.

TechInvest will disclose to clients on an annual basis and on demand whether the firm has Soft Dollar Agreements in place, the nature of the services provided and their use.

Current Disclosure

TechInvest currently has no Soft Dollar Agreements in place.

Unit Pricing Policy

TechInvest has developed a unit pricing policy which is available on request.
